Terms of Service

When using the Quail Platform service ("Service") provided by spriteCloud B.V. ("sC"), registered with the Dutch Chamber of Commerce in Amsterdam under number 27351758, you agree to the following Terms of Service. See also our Usage Disclaimer and Privacy Policy, both of which form part of these terms.
General
These terms apply to every contract between sC and a user regarding the Service, unless a written agreement states otherwise. The applicability of any general terms and conditions you invoke is explicitly rejected, unless explicitly confirmed in writing by sC. Non-compliance with these terms can result in immediate account termination.
Account conditions
Accounts are for human beings, not automated entities. Sign-in is exclusively via Google. There is no separate Quail password to set or lose. Your Google account and the sessions it creates are strictly personal and may not be shared with other people. You bear sole responsibility for your account's security and for all activity under it. The Service may not be used for illegal purposes or in a way that violates the laws of your jurisdiction.
Payment terms
Payment for a paid plan is made in advance, per calendar month or year, by credit card or bank transfer, and is non-refundable to the extent permitted by applicable law. Prices exclude VAT (currently 21%). Late payment may trigger a temporary account lockdown, with instructions sent by email on how to reactivate. In case of late payment, you are responsible, in addition to the amount owed, for the complete compensation of any resulting cost to sC.
Cancelling a paid plan
A paid plan associated with a company can be cancelled at any time. Access continues through the end of the current billing period, after which the company reverts to the Free plan.
Cancelling a Free plan
Free plans are associated with companies you own within Quail and cannot themselves be "cancelled". The associated company may still be deleted.
Closing your account
Closing your account is immediate and irreversible: you lose access to every company you were a member of. If you are the sole Company Admin of a company, you must promote another member first. The Service refuses the deletion otherwise, to avoid leaving a company without an admin. If you sign in again later with the same Google account, you start fresh, with no special treatment for having been a user before.
Modifications to the Service and prices
sC reserves the right, at any time and from time to time, to modify or discontinue the Service (or any part of it), temporarily or permanently, with or without notice. Price changes are announced on our website at least one month in advance.
Licenses and ownership of content
sC will never claim ownership over your content or materials posted to your account. Your test scenarios, issue findings, screenshots, and project configuration are and remain your property.
Liability
Your use of the Service is at your sole risk. sC is not liable for direct or indirect damages, including consequential damages, lost profits, or lost savings arising from your use of the Service. You must indemnify sC against any third-party claim arising from your use of the Service. Quail's exploratory testing agent interacts autonomously with the target application(s) you configure. Applicable law and disputes
This agreement is governed by Dutch law. The courts of Amsterdam have exclusive jurisdiction over any dispute arising from it, unless compulsory law provides otherwise.
Other conditions
sC strives for maximum uptime but bears no liability for downtime during force majeure events, or for the third-party vendors that provide underlying infrastructure. You may not modify, adapt, or attempt to hack the Service, or falsely associate another website with it. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design of the Service without sC's express written permission. Transmitting destructive code (viruses, worms, time bombs) is prohibited. You are responsible for not submitting sensitive data to the Service beyond what it's designed to hold. This includes credit card numbers, medical records, or anything else you'd consider confidential.
